These Terms of Service ("Terms") govern your access to and use of the Portalz platform provided by Infusion 51a LLC ("Portalz," "we," "us," or "our"), including the desktop application, mobile application, web applications, and cloud services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA). If using on behalf of an organization, you represent authority to bind that organization.

2. Account Registration

• Provide accurate, current registration information
• Maintain and update your account information
• Maintain security of your credentials
• Accept responsibility for all account activities
• Notify us of unauthorized account use

3. Use of the Services

3.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license for personal or internal business purposes.

3.2 Acceptable Use

You agree not to:

• Use for illegal, harmful, or unauthorized purposes
• Attempt unauthorized access to systems or networks
• Reverse engineer or decompile the Services
• Interfere with service integrity or performance
• Transmit viruses or malicious code
• Use unauthorized automated scripts or bots
• Circumvent security features or access controls
• Impersonate any person or entity
• Use AI agents to generate illegal or harmful content

3.3 AI Agent Usage

• AI content may contain errors — review before critical use
• You are responsible for validating all AI outputs
• Agents operate within compliance boundaries
• Agent actions are logged for security and compliance

4. Your Content

You retain ownership of all content you create or store ("Your Content"). You grant us a limited license to store, process, and sync Your Content solely to provide the Services.

5. Intellectual Property

The Services are owned by Infusion 51a LLC and protected by intellectual property laws. Certain features may be covered by Patent Application PZ-2026-001 (SOP Compliance Chain, Encrypted Portable Brain).

6. Subscription and Payments

• Fees billed in advance on a recurring basis
• Non-refundable except as required by law
• Fee changes upon 30 days' notice
• Failure to pay may result in feature suspension

7. Data and Privacy

Your use is governed by our Privacy Policy. You may export data via the Portable Brain feature. Personal data deleted within 30 days of account deletion.

8. Security

Industry-standard security measures. No system is 100% secure. You are responsible for credential security and reporting vulnerabilities.

9. Third-Party Services

The Services may integrate with third-party services. We are not responsible for their content or practices.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AI-GENERATED CONTENT IS PROVIDED WITHOUT WARRANTY OF ACCURACY OR RELIABILITY.

11. Limitation of Liability

INFUSION 51A LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID IN THE PRECEDING 12 MONTHS, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify Infusion 51a LLC from claims arising from your use of the Services, violation of these Terms, or violation of third-party rights.

13. Termination

• We may suspend or terminate access at any time
• You may terminate your account via support
• Export data before termination via Portable Brain
• Surviving provisions continue in effect

14. Governing Law

Laws of the State of Delaware. Disputes via binding arbitration (AAA). Individual basis — no class actions.

15. Changes to Terms

We may modify these Terms. Material changes communicated via website and application. Continued use constitutes acceptance.

16. General Provisions

• Entire Agreement: Terms + Privacy Policy
• Severability: Invalid provisions don't void the rest
• Waiver: Non-enforcement doesn't waive rights
• Assignment: You may not assign without consent
• Force Majeure: Not liable for events beyond control
